Banca Transilvania will distribute additional dividends and initiate new bonds issuances

Banca Transilvania will distribute additional dividends totaling RON 700 million to its shareholders, sourced from net profit reserves accumulated over previous years. Concurrently, the bank will initiate new bonds issuances of up to EUR 2 billion to support its future growth strategy.
These initiatives, proposed by the Board of Directors, received the shareholders’ approval during the General Shareholders' Meeting held on 28 October 2025.
Earlier this year, the bank distributed RON 1.59 billion in dividends from its 2024 net profit, representing 45% of last year’s earnings.
We remain committed to rewarding the trust of our shareholders and investors, reflecting the bank’s strong financial performance and its capacity to generate sustainable long-term value. In addition, we are pleased to provide liquidity and support to our shareholders during a challenging period. As for the new bonds issuances, we view them as an effective means of diversifying the capital base, in a cost-effective manner, while strengthening BT's position as a reputable issuer on the international financial markets.

Additional dividends
- Shareholders will receive a gross dividend of RON 0.6420 per share. (Late edit: November 26, 2025, 16:25 - complete value of gross dividend: RON 0.6420341921 per share)
- This corresponds to an approximate yield of 2.3%, based on the current market price of TLV shares.
- The dividend payment date is set for 11 December 2025, applicable to shareholders registered as of 25 November 2025.
New bonds issuances
- Corporate bond issuances will be conducted over a period of up to five years, with a cumulative ceiling of EUR 2 billion (or its equivalent in other currencies). These issuances may be denominated in RON, EUR, or other currencies.
- Banca Transilvania (BT) has proposed to its shareholders the approval of bonds issuances under a flexible framework. This may include one or more standalone issuances, the launch of a new bonds programme, or an increase in the maximum amount approved under the 2023 EMTN Programme, currently set at EUR 1.5 billion.
- The bank will take into account market conditions and practices when setting the interest rate, coupon payment frequency, type of instrument or any other elements of the issuance structure.
- BT Capital Partners, the brokerage company of Banca Transilvania Group, will act as one of the intermediaries for each bonds issuance.
Banca Transilvania Group reported a net profit of RON 1.97 billion for the first half of the year, with RON 1.78 billion attributable to Banca Transilvania. The financial results for the first nine months of 2025 are scheduled to be released by BT on 10 November.
