Banca Transilvania, a new acquisition in the Republic of Moldova

Banca Transilvania intends to acquire 100% of the share capital of Microinvest, a company specialized in financing micro-enterprises, the leader of the non-banking financial market in the Republic of Moldova.
Microinvest has built over time a solid position on the market and has positioned itself as a strong brand. The company has over 25,000 customers, almost 200 employees, 13 branches and has so far provided over 30,000 financing. Another strength of Microinvest is the professional management team, with experience and expertise in banking and microfinance.
"The step we are taking through this new acquisition shows BT's commitment to support as many entrepreneurs as possible by developing the microfinance activity of banca transilvania financial group. It is the opportunity we want to capitalize on in favor of customers at the beginning of the road. We will do this by combining the business model we have in Romania at BT Mic, with that of Microinvest, as well as by increasing synergies with other companies of the Banca Transilvania Financial Group in the Republic of Moldova - BT Leasing and Victoriabank", says Ömer Tetik, General Manager, Banca Transilvania.
Currently, BT is at the stage of applying for approval of the acquisition by the Romanian supervisory authorities and other relevant authorities.
In assessing and preparing this transaction, Banca Transilvania collaborated with law firms and legal advisers from Romania and the Republic of Moldova, the project team consisting mainly of Filip & Company and Vernon | David and associates. KPMG and EY were also partners in the project.
Part of the Moldovan market since 2008, first through BT Leasing Moldova and from 2018 through Victoriabank, Banca Transilvania Financial Group supports entrepreneurs and contributes to the consolidation of the area's economy.

BT Mic now has over 10,000 clients in all fields of activity, companies that have over 2o,000 employees in 2,000 localities in Romania.
- BT Leasing Moldova is the leader of the leasing companies in the Republic of Moldova, depending on the value of the fixed assets financing granted in leasing. It has over 3,000 customers, 60% of whom are companies. SMEs account for 90% of the funded firms. BT Leasing MD offers a full range of leasing financing products and services for the purchase of vehicles, equipment, machinery and real estate for individuals and companies in the Republic of Moldova.
- Victoriabank is the third largest bank in Moldova. It has close to 270,000 active customers, of which over 10,000 are companies, but also 100 offices and 1,100 employees. It is the first commercial banking institution established in Moldova in 1989. Banca Transilvania has been a shareholder in Victoriabank since 2018, and together with the European Bank for Reconstruction and Development, they form a strategic partnership to support the economy of the Republic of Moldova.
