BT Capital Partners brokered a private placement of bonds raising €3 million for SelfPay

Zebrapay S.A., the company that operates the SelfPay payment station network, has successfully closed a private placement of bonds raising €3 million, maturing in 2026, at an interest rate of 5.5%. SelfPay is the first fintech business to list bonds on the BVB's AeRO market.

BT Capital Partners (BTCP), the investment banking and capital markets division of Banca Transilvania Financial Group, was an Intermediary and Authorized Consultant. The BTCP project team consisted of Daniela Secara (Managing Director), Nina Pirvu (Managing Director Investment Banking & Capital Markets), Bogdan Baldovin (Associate) and Serban Dumitrescu (Associate).

The bonds will be listed on the Multilateral Trading System (MTMS) of the Bucharest Stock Exchange. The next step is the preparation of the necessary documents for the admission of the bonds to trading on the Multilateral Trading System of the Bucharest Stock Exchange. SelfPay aims for the first day of trading in about one month and the symbol is PAY26E. The funds raised from the bond listing will be used mainly for the development of the Payment Station network at national and international level, first in Italy, Spain, France and Ireland.

Placement details:

• As part of the private placement, the company offered for sale 20,000 unsecured bonds not convertible into shares, with a nominal value of €100, to up to 150 investors and qualified investors.
• The placement was oversubscribed and the offer was increased, attracting a total of €3 million at an interest rate of 5.5%, representing one of the lowest funding costs obtained in similar bond offerings.
• The placement was subscribed by 99 investors, both individuals and qualified investors.
